By accessing or using VenueExchange (also known as Venue Exchange or VenueXchange), available at www.venueexchange.in, you confirm that you have read, understood and agree to be bound by these Terms & Conditions and our Privacy Policy.

If you do not agree to these terms, please do not use the platform. VenueExchange reserves the right to update these terms at any time. Continued use after changes constitutes acceptance of the revised terms.

VenueExchange is a corporate venue discovery and procurement platform operated from Mumbai, Maharashtra, India. The platform connects corporate event planners — including HR managers, Executive Assistants and procurement professionals — with verified venue partners including hotels, banquet halls, convention centres and resorts.

VenueExchange is a marketplace and facilitator. We are not a venue operator, event management company or travel agent. We do not own or operate any venue listed on the platform.

To use VenueExchange, you must:

• Be at least 18 years of age
• Have the legal authority to enter into a binding agreement on behalf of yourself or your organisation
• Use the platform only for lawful corporate event planning purposes
• Provide accurate, current and complete information when submitting RFPs or contact forms

VenueExchange provides the following services:

• Venue discovery: Browse and search 80+ verified corporate event venues in Mumbai
• RFP submission: Submit a single requirement to receive curated venue proposals
• Venue information: Access structured data including capacity, pricing, amenities and event suitability
• Coordination: Facilitate communication between corporate planners and venue partners via WhatsApp and email

Response SLA: We target a 24-hour turnaround from RFP submission to curated venue shortlist. This is a service goal, not a contractual guarantee. Response times may vary based on venue availability and event complexity.

As a user of VenueExchange, you agree to:

• Provide truthful and accurate information in all RFPs and forms
• Use the platform solely for legitimate corporate event planning purposes
• Not submit false, misleading or fraudulent requirements
• Not contact venues discovered through VenueExchange through other channels to circumvent the platform's facilitation role within 12 months of discovery
• Not scrape, copy or redistribute venue data from the platform without prior written permission
• Not use the platform in any way that violates applicable Indian law or causes harm to VenueExchange, its venue partners or other users

Venues listed on VenueExchange are independent third-party operators. VenueExchange:

• Does not guarantee the accuracy of venue-provided pricing, availability or specifications at all times
• Is not a party to any contract between a user and a venue
• Is not responsible for the quality, safety, suitability or performance of any venue
• Does not process payments on behalf of venues — all payments are made directly between the user and the venue
• Verifies venues for corporate readiness on a best-effort basis but cannot guarantee complete accuracy of all listed details

Any booking agreement, payment terms, refund policy and cancellation policy are solely between you and the respective venue. VenueExchange accepts no liability for disputes arising from such agreements.

All content on VenueExchange — including text, design, layout, graphics, venue data compilation, the RFP system and platform architecture — is the intellectual property of VenueExchange and is protected under applicable Indian copyright and intellectual property law.

• You may not reproduce, distribute or create derivative works from platform content without prior written permission from VenueExchange
• Venue names, logos and photos remain the property of respective venue operators
• The VenueExchange name, logo and brand assets (including Venue Exchange and VenueXchange) may not be used without written consent

VenueExchange is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to:

• That the platform will be uninterrupted, error-free or free from technical issues
• That venue information is complete, accurate or up to date at all times
• That any venue will be available on the dates you require
• That proposals received will meet your specific requirements or budget expectations
• That the platform will be compatible with all devices or browsers

To the fullest extent permitted by applicable law, VenueExchange shall not be liable for any indirect, incidental, special or consequential damages arising from:

• Your use of or inability to use the platform
• Any venue booking made through or facilitated by VenueExchange
• Inaccurate or incomplete venue information
• Any event cancellation, postponement or venue failure
• Loss of data, revenue or business opportunity
• Unauthorised access to your data caused by factors beyond our reasonable control

Our total aggregate liability to you for any claim arising from the use of VenueExchange shall not exceed ₹10,000 or the total platform fees (if any) paid by you in the 12 months preceding the claim, whichever is lower.

You agree to indemnify and hold harmless VenueExchange, its founders, employees, agents and venue partners from any claims, losses, damages or expenses (including reasonable legal fees) arising from:

• Your breach of these Terms & Conditions
• Your misuse of the platform
• Any false or misleading information you provide
• Your violation of any applicable law or third-party rights

VenueExchange does not currently charge users a platform fee for venue discovery or RFP submission. All refund and cancellation terms for venue bookings are governed by the individual venue's own cancellation and refund policy.

In the event VenueExchange introduces paid services in the future, specific refund terms will be published separately and communicated to users clearly at the point of purchase.

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or use of the platform shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

We encourage users to first attempt resolution through direct communication at founder@venueexchange.in before initiating any formal legal proceedings.

VenueExchange reserves the right to suspend or terminate access to the platform at any time, without prior notice, if we reasonably believe you have violated these Terms & Conditions or are using the platform in a manner harmful to users, venues or VenueExchange.
